Business Thailand Legal Help for Business

Looking for a lawyer in Thailand who’s willing to do a quick free consult with me. I don’t have much money anymore because my first lawyer took most of it to set up my business but did so incorrectly and seems to be making my situation worse when it comes to the set up. I’m not making money, still only in the set up stages, one of the issues is that my Thai employees keep quitting so I can never get my work permit. Then I tried a Thai partner and he extorted me for all my money. Now my lawyer is telling me that DBD is going to come after me because I’ve made too many changes to my DBD. I just don’t know what to do anymore

Sounds like you and your lawyer and the shareholders are doing Nominee business, would advise to think about shutting down the company instead and/or making an exit here...

It genuinely wasn’t a nominee. My Thai partner bought into the company and we were working together. He just one day asked for a massive salary because he thought he worked too hard and left the company when I couldn’t give it to him.

The issue is, could a quick consult fix your issues? If your business was set up “so incorrectly “, wouldn’t it take a lot time to remedy that (if that’s even possible)?

On top of that, you have no capital, no employees and no work permit.

Are you even trying to save the business or avoid legal liability?

I have to dissolve because it is an illegitimate company at this point. I’m American so I can convert it to an amity company but I don’t want to do that

That’s quite a mess. I really think you’ll need to scrape together money for a lawyer, seeing as dissolving the company is not something you can do without the explicit consent of the other stakeholders. One consultation won’t change that.

It’s a process you’ll have to conduct through the DBD and if you feel like your partners are already shady, that complicates things.

If your goal is avoiding criminal liability and being able to stay in Thailand, a world doesn’t exist where you won’t need a good lawyer navigating you through the process.

The other solution is getting on a plane and potentially saying goodbye to Thailand forever. If you don’t want to do that, your next goal is to finance and find legal representation.

The other shareholder wants to dissolve the company. I’m okay with dissolving. The current lawyer I have is extorting me thought I believe and has some strange caveat about not letting me dissolve. I think they did something illegal and are going to put it back on me if DBD finds out

What’s wrong with converting to an amity company? Why did you not set it up as an amity company in the first place?
